Independent Legal Advice (ILA) ensures you fully understand the terms, risks, and legal consequences of documents you are being asked to sign. This advice must be given by a solicitor who is entirely independent from all other parties, ensuring your position is protected and your consent is fully informed.
At Orwins, we understand that ILA is often required at short notice. We provide a fast, streamlined service so your transaction can move ahead without delay.
When Independent Legal Advice Is Required:
Occupier’s Consent and Related Forms
Lenders often require ILA where an adult will live at a mortgaged property but will not be a legal owner. Before completion, the adult occupier may be asked to sign an Occupier’s Consent Form. These documents may also be titled:
Occupier’s Waiver Form
Deed or Letter of Consent
Deed of Postponement
Occupancy Waiver
Although the names vary, they all serve the same purpose: confirming that the occupier understands and accepts the implications of living in a property where they have no legal ownership.
What the occupier is confirming:
They will not interfere with the lender’s rights if the mortgage falls into arrears.
They agree to leave the property if the lender repossesses it.
They waive priority over any financial or equitable interest so the lender is repaid first.
These acknowledgements protect the lender’s security position. Without evidence that the occupier understood and agreed to the implications, the document may later be challenged or deemed ineffective. Lenders must therefore identify all adults living at the property and ensure each one signs the required form with independent legal advice.
Other Situations Where ILA May Be Required
Independent Legal Advice is also generally required in the following situations:
Personal Guarantees
When someone personally guarantees another party’s liabilities, ILA confirms they understand that:
They may be personally liable for the debt.
Their personal assets may be at risk.
The guarantee remains enforceable even if the main borrower defaults.
Settlement Agreements
Individuals may need independent legal advice before signing a settlement agreement to ensure they:
Understand the rights or claims they are waiving.
Know that the agreement becomes legally binding once signed.
Mortgage and Loan Arrangements
ILA may also be needed where:
A conflict of interest might exist.
A borrower may be vulnerable.
A lender requires formal confirmation that the signatory understands the implications of the transaction.
What Independent Legal Advice Achieves
Protects your position by ensuring you understand the document you are signing.
Helps ensure the agreement is legally valid by demonstrating informed consent.
Reduces the risk of disputes or later challenges that could disrupt the transaction.
